Our
management, with the participation of our principal executive officer and our principal financial officer, evaluated the effectiveness
of our disclosure controls and procedures as of December 31, 2020. Based on such evaluation, our principal executive officer and
principal financial officer concluded our disclosure controls and procedures (as defined in Rules 13a-15(f) and 15d-15(f) under
the Exchange Act) were effective as of such date to provide reasonable assurance the information required to be disclosed by us
in the reports we file or submit under the Exchange Act is recorded, processed, summarized and reported within the time periods
specified in the SEC’s rules and forms. Disclosure controls and procedures include, without limitation, controls and procedures
designed to ensure information required to be disclosed by us in the reports we file or submit under the Exchange Act is accumulated
and communicated to our management, including our principal executive officer and principal financial officer, as appropriate
to allow timely decisions regarding required disclosure.

Our
management is responsible for establishing and maintaining an adequate system of internal control over financial reporting, as
such term is defined in Exchange Act Rules 13(a)-15(f). Our system of internal control over financial reporting is designed to
provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements for
external purposes in accordance with accounting principles generally accepted in the U.S.
Our
internal control over financial reporting includes those policies and procedures that:

to the maintenance of records, in reasonable detail, accurately and fairly reflect our transactions and dispositions of our
assets;

reasonable assurance our transactions are recorded as necessary to permit preparation of our financial statements in accordance
with accounting principles generally accepted in the U.S., and our receipts and expenditures are being made only in accordance
with authorizations of our management and our directors; and;

provide
reasonable assurance regarding prevention or timely detection of unauthorized acquisition, use, or disposition of our assets
could have a material effect on the financial statements.
Due
to its inherent limitations, a system of internal control over financial reporting can provide only reasonable assurance and may
not prevent or detect all misstatements. Further, because of changes in conditions, effectiveness of internal controls over financial
reporting may vary over time. Our system contains self-monitoring mechanisms, so actions will be taken to correct deficiencies
as they are identified.
Our
management conducted an evaluation of the effectiveness of the system of internal control over financial reporting based on the
framework in Internal Control-Integrated Framework (2013) issued by the Committee of Sponsoring Organizations of the Treadway
Commission. Based on this evaluation, our management concluded our system of internal control over financial reporting was effective
as of December 31, 2020.
