On March 13, 2026 , Richard H. Sauer , the Company’s Executive Vice President, General Counsel , adopted a trading arrangement for the sale of the Company’s common stock (a “Rule 10b5-1 Trading Plan”) that is intended to satisfy the affirmative defense conditions of Rule 10b5-1(c) of the Exchange Act. Mr. Sauer’s Rule 10b5-1 Trading Plan, which has a term of six months , provides for the sale of up to 35,000 shares of the Company’s common stock pursuant to the terms of the Rule 10b5-1 Trading Plan.
