Evaluation of Disclosure Controls and
Procedures
An evaluation was
performed under the supervision and with the participation of Hollywood Media’s management, including the Chief Executive
Officer (principal executive officer) and the Chief Financial Officer and Chief Accounting Officer (principal financial and accounting
officer), of the effectiveness of Hollywood Media’s disclosure controls and procedures (as defined in Exchange Act Rules
13a-15(e) and 15d-15(e)) as of the end of the period covered by this Quarterly Report on Form 10-Q. Based on that evaluation,
Hollywood Media’s management, including the Chief Executive Officer and Chief Financial Officer and Chief Accounting Officer,
have concluded that Hollywood Media’s disclosure controls and procedures were effective, as of March 31, 2013, to ensure
that information required to be disclosed by Hollywood Media in reports that it files or submits under the Exchange Act is (i)
recorded, processed, summarized and reported within the time periods specified in the rules and forms of the Securities and Exchange
Commission and (ii) accumulated and communicated to Hollywood Media’s management, including the Chief Executive Officer
and Chief Financial Officer and Chief Accounting Officer, to allow timely decisions regarding required disclosure.
Changes in Internal Control over Financial
Reporting
There have been no
changes in Hollywood Media’s internal control over financial reporting (as defined in Exchange Act Rules 13a-15(f) and 15d-15(f))
that occurred during the period covered by this Quarterly Report on Form 10-Q that have materially affected, or are reasonably
likely to materially affect, Hollywood Media’s internal control over financial reporting.
