November 24, 2020, subsequent to the death of the Chairman of the Audit Committee and a Director on November 4, 2020, the Board
of Directors appointed Thomas H. Decker as the Chairman of the Audit Committee. The Board has determined that Mr. Decker is an
“audit committee financial expert” (as that term is defined under the applicable SEC rules and regulations) based
on the Board’s qualitative assessment of Mr. Decker’s level of knowledge, experience and formal education.
