4. Controls and Procedures
The
Company has established a Disclosure Controls Committee that assists the Chief Executive Officer and Chief Financial Officer in their
evaluation of the Company’s disclosure controls and procedures. Our Chief Executive Officer and Chief Financial Officer have concluded,
based on their evaluation as of the end of the period covered by this report, that our disclosure controls and procedures, as defined
in the Securities Exchange Act of 1934, as amended (the Exchange Act), Rule 13a-15(e), are effective to ensure that the information required
to be disclosed in the reports that the Company files or submits under the Exchange Act (i) is recorded, processed, summarized and reported
within the time periods specified in the Securities and Exchange Commission’s rules and forms, and (ii) is accumulated and communicated
to the Company’s management, including our Chief Executive Officer and Chief Financial Officer, as appropriate to allow timely
decisions regarding required disclosure.
There
have been no changes in the Company’s internal control over financial reporting during the three months ended September 30, 2021
that have materially affected, or are reasonably likely to materially affect, the Company’s internal control over financial reporting.
Subsequent to September 30, 2021, the Company has not experienced any material impact to internal controls over financial reporting even
though most of our employees are working remotely due to the COVID-19 outbreak. Management will continue to assess risks and impacts
on internal controls over financial reporting as they arise.
