1A. RISK FACTORS
Our
business is subject to a high degree of risk. In addition to information set forth in this report, including the risk factors below,
you should carefully consider the risk factors discussed in our Annual Report on Form 10-K for our fiscal year ended December 31,
2020 and Amendment No. 1 thereto (the “2020 Form 10-K”), as well as our Quarterly Report on Form 10-Q for the period
ended June 30, 2021 (the “June 2021 Form 10-Q”). You should carefully read and assess all of these risk factors. Any
of these risks could materially and adversely affect our business, operating results, financial condition and prospects, and cause
the value of our common stock to decline, which could cause investors in our common stock to lose all or part of their investments.
Other than as set forth below, there have been no material changes to the risk factors previously disclosed in the
2020 Form 10-K and in the June 2021 Form 10-Q.

Supply chain disruptions and inflation are
having, and could continue to have, an adverse effect on our business, operating results and financial condition.
Our
Gaming Sales segment in North America and Greece is being adversely affected by supply chain disruption which may result in lost sales
(and which sales may not be recovered) and we are also exposed to inflation through the increased cost of goods sold and wage inflation
as a result of current global economic conditions.
