2. PROPERTIES.
Effective September 1, 2021, we moved our principal
executive office from 708 Third Avenue, 6 th floor, New York, NY, 10017 to 420 Lexington Ave, New York, NY, 10170, where we
lease approximately 320 square feet of office space pursuant to a monthly lease.
We believe
that we have adequate space for our anticipated needs and that suitable additional space will be available at commercially
reasonable prices as needed.

time to time, we may be subject to legal proceedings and claims arising in the ordinary course of business. We are not currently engaged
in any material legal proceedings.
