Item 5. Other Information.
On November 11, 2020, our Board of Directors (the “Board”) approved the terms of the First Amended Executive Employment Agreement, by and between Saiid Zarrabian and Kintara Therapeutics, Inc., including (i) that Mr. Zarrabian will be eligible to receive an annual (fiscal year) performance bonus of up to fifty percent (50%) of his base salary, subject to the achievement of performance targets or criteria established by the Board for such year in consultation with Mr. Zarrabian and (ii) that in the event of overachievement of such targets or criteria for a given fiscal year, the Board may increase the bonus for such year to up to an additional twenty-five percent (25%) of Mr. Zarrabian’s base salary. In addition, on November 11, 2020, the Board approved the acceleration of vesting of 279,675 stock options to purchase shares of our common stock previously granted to Mr. Zarrabian on September 5, 2019, and which have an exercise price of $0.61 per share.
