(c) Trading Plans
On July 31, 2023 , Tamara Newcombe , President & CEO of Precision Technologies, adopted a Rule 10b5-1 trading arrangement providing for the sale from time to time of an aggregate of up to 10,000 shares of our common stock. The trading arrangement is intended to satisfy the affirmative defense in Rule 10b5-1(c). The duration of the trading arrangement is until October 30, 2024, or earlier if all transactions under the trading arrangement are completed.
During the third quarter ended September 29, 2023, no other directors or Section 16 officers adopted or terminated any “Rule 10b5-1 trading arrangement” or any “non-Rule 10b5-1 trading arrangement,” as each term is defined in Item 408(a) of Regulation S-K.
