$15,000,000. The sale of shares of our common stock was made pursuant to a subscription agreement entered into by us, on the one
hand, and Alset EHome International, Inc., on the other hand. The issuance and sale of the shares of our common stock are exempt
from the registration requirements of the Securities Act, pursuant to Section 4(a)(2) thereof and Regulation
D or Regulation S thereunder, as applicable.
