actual or pending legal proceedings or regulatory actions that would materially affect the Corporation nor is the Corporation currently
contemplating any legal proceedings that are material to its business or of which any of its assets are likely to be subject. Furthermore,
the Corporation is not aware of any such proceeding known to be contemplated or threatened which would materially affect the Corporation.
