2. PROPERTIES
We
currently utilize office space at 32 Broadway, Suite 401, New York, NY 10004. We pay our Sponsor or an affiliate thereof up to $10,000
per month for office space, utilities, secretarial and administrative support services provided to members of our management team. Upon
completion of our initial business combination or our liquidation, we will cease paying these monthly fees. We consider our current office
space, combined with the other office space otherwise available to our executive officers, adequate for our current operations.

is no material litigation, arbitration or governmental proceeding currently pending against us or any members of our management team.
