Procedures for Recommending Director Nominees
Information concerning the procedures by which shareholders may recommend nominees to the Company’s Board of Directors can be found under the caption, “Shareholder Recommendations” in the 2023 Proxy Statement. This is a new proposal, if approved, to amend the code of regulations to conform with the Commision's newly adopted Rule 14a-19 of the Exchange Act.
