term is defined in Rules 13a-14(c) and 15d - 14(c) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”))
as of the end of the period covered by this Form 10-Q (the “Evaluation Date”). Based on such evaluation, such officers have
concluded that, as of the Evaluation Date, 1) the Company’s disclosure controls and procedures are effective to ensure that information
required to be disclosed by the Company in reports the Company files under the Securities Exchange Act is recorded, processed, summarized
and reported within the time periods specified in the rules and forms of the SEC and 2) the Company’s disclosure controls and procedures
are effective to ensure that information required to be disclosed in the reports that the Company files or submits under the Exchange
Act is accumulated and communicated to our management, including our chief executive officer and chief financial officer, to allow timely
decisions regarding required disclosure.
(b) Changes in Internal Controls.
There has been no change in our internal control over financial reporting that occurred during our most recent fiscal quarter that has
materially affected or is reasonably likely to materially affect our internal control over financial reporting.
