There were no unregistered sales of equity securities during the three fiscal months ended May 2, 2020 other than as reported in our Current Report on Form 8-K filed with the SEC on April 16, 2020 in connection with our offering of convertible senior notes. The convertible senior notes were issued in a private placement in reliance on Section 4(a)(2) of the Securities Act.

The number of shares purchased between February 2, 2020 and February 29, 2020, between March 1, 2020 and April 4, 2020 and between April 5, 2020 and May 2, 2020 include 413 shares, 625 shares and 40,325 shares, respectively, which were withheld for tax payments due upon the vesting of employee restricted stock or restricted stock unit awards, and do not reduce the dollar value that may yet be purchased under our publicly announced share repurchase programs.

On August 14, 2019, our Board of Directors authorized the repurchase of up to $400 million of common stock, which is authorized to be executed through August 2021. As part of the Company’s cash management efforts during the COVID-19 pandemic, the Company suspended its share repurchase program in March 2020.
