On October 11, 2022, the board of directors of the Company approved and adopted the Amended and Restated Bylaws of the Company, which became effective the same day, in order to, among other things (i) update the name of the Company from “Nuclear Medical Systems, Inc.” to “Biomerica, Inc.”, (ii) change the annual meeting date from October 15 to any such date that the Board shall fix each year, (iii) change the voting standard for all matters other than election of directors from a plurality vote to a majority vote, (iv) update the requirements for the list of stockholders, (v) revise the indemnification provisions, and (vi) add new forum selection provisions.
The preceding summary of the Amended and Restated Bylaws is qualified in its entirety by reference to, and should be read in connection with, the complete copy of the Amended and Restated Bylaws filed herewith as Exhibit 3.1.
