time to time, the Company may become involved in claims, suits, investigations or other proceedings arising in the ordinary course of
business. As of the date of this Annual Report on Form 10-K, the Company is not a party to any material pending legal proceedings, and,
to the Company’s knowledge, no such material proceedings are threatened against it.
The
Company may in the future be subject to litigation or regulatory proceedings, including in connection with its business, intellectual
property, commercial relationships, product activities, privacy and data matters, employment matters, securities matters or other disputes.
