During the three months ended June 30, 2026, no director or officer of the Company adopted or terminated a "Rule 10b5-1 trading arrangement" or "non-Rule 10b5-1 trading arrangement," as each term is defined in Item 408(a) of Regulation S-K.
On July 23, 2026, Timothy J. Jahnke informed the Company that he was retiring from the Board of Directors due to personal reasons, effective July 23, 2026. Mr. Jahnke’s decision to retire was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Jahnke has served as a director since 2022. Mr. Jahnke expressed his gratitude to the Company for the opportunity to serve on the Board. The Company and the Board would like to thank Mr. Jahnke for his leadership and commitment to the Company, as well as for his many important contributions as a member of the Board.
