Legal Proceedings.

From time to time, we may

become involved in legal proceedings relating to claims arising from the ordinary course of business.

Our management believes that there

are currently no claims or actions pending against us, the ultimate disposition of which could have a material adverse effect on our results

of operations, financial condition or cash flows.

to substantial uncertainties, and could result in damages, fines, penalties, non-monetary sanctions or relief.

We recognize provisions

for claims or pending litigation when we determine that an unfavorable outcome is probable and the amount of loss can be reasonably estimated.

Due to the inherent uncertain nature of litigation, the ultimate outcome or actual cost of settlement may materially vary from estimates.
