Other Information During the quarterly period ended September 30, 2025, none of our directors or officers (as defined in Rule 16a-1(f) promulgated under the Exchange Act) adopted or terminated any “Rule 10b5-1 trading arrangement” or any “non-Rule 10b5-1 trading arrangement,” as each term is defined in Item 408 of Regulation S-K. On November 11, 2025, Andrew R. Crescenzo, the Company’s Chief Financial Officer, notified the Company of his intent to retire from his positions as Chief Financial Officer, effective December 31, 2025. The Board of Directors has commenced a process to identify and appoint a successor to serve as the Company’s next Chief Financial Officer.
