Unregistered Sales of Equity Securities
On August 10, 2023, concurrent with the completion of our underwritten public offering and pursuant to a private placement agreement dated August 7, 2023, we sold 599,983 shares of common stock to certain affiliates of MSD Partners, L.P. at a purchase price of $21.40 per share, equal to the public offering price per share, for an aggregate $12.8 million. The shares were sold in reliance on the exemption from registration pursuant to Section 4(a)(2) of the Securities Act of 1933, as amended, on the basis that it did not involve a public offering.
