Item 5. Other Information.
On August 5, 2021, the Compensation Committee approved the Company’s Non-Employee Director Compensation Policy. Non-employee directors shall receive annual cash compensation of $25,000, payable in quarterly installments. Upon joining the board of directors, non-employee directors shall receive a grant of RSUs with an approximate value of $75,000, vesting in three equal annual installments commencing on the first anniversary of the grant date. The Compensation Committee is empowered to grant additional equity awards based upon individual contribution to the Company.
