investment in the Company’s common stock involves a number of very significant risks. You should carefully consider the risk factors
included in the “Risk Factors” section of our Annual Report on Form 10-K for the year ended December 31, 2021, as filed with
the SEC on March 7, 2022, in addition to other information contained in our reports and in this quarterly report in evaluating the Company
and its business before purchasing shares of our common stock. Except as set forth below, there have been no material changes to our
risk factors contained in our Annual Report on Form 10-K for the year ended December 31, 2021. The Company’s business, operating
results and financial condition could be adversely affected due to any of those risks. In addition:

is substantial doubt about our ability to continue as a going concern.
Our
historical financial statements have been prepared under the assumption that we will continue as a going concern. As of June 30, 2022,
the Company had an accumulated deficit of $170 million. We have limited financial resources, and as of June 30, 2022 we had a working
capital deficit of $7.4 million and a cash balance of $11.7 million. We will need to raise additional capital or secure debt funding
to support on-going operations. The sources of this capital are expected to be the sale of equity and debt, which may not be available
on favorable terms, if at all, and may, if sold, cause significant dilution to existing stockholders. If we are unable to access additional
capital moving forward, it may hurt our ability to grow and to generate future revenues, our financial position, and liquidity. These
factors raise substantial doubt about the ability of the Company to continue as a going concern. Unless management is able to obtain
additional financing, it is unlikely that the Company will be able to meet its funding requirements during the next 12 months. The financial
statements do not include any adjustments that might result from the outcome of this uncertainty. The doubt regarding our potential ability
to continue as a going concern may adversely affect our ability to obtain new financing on reasonable terms or at all. Additionally,
if we are unable to continue as a going concern, our stockholders may lose some or all of their investment in the Company.
