From
time to time, we may become involved in material legal proceedings or be subject to claims arising in the ordinary course of our business.
Regardless of outcome, such proceedings or claims can have an adverse impact on us because of defense and settlement costs, diversion
of resources, and other factors, and there can be no assurances that favorable outcomes will be obtained. We are not presently party
to any legal proceedings material to our operations or of which any of our property is the subject, nor are we aware of any such proceedings
that are contemplated by a government authority.
