On
November 3, 2023, the Company issued an aggregate of 292,500 Options to Purchase Stock to its executive officers and members of its board
of directors pursuant to the Iveda Solutions, Inc. 2020 Plan (the “2020 Plan”).
The
stock options were issued in reliance on the exemption from registration under the Securities Act provided in Section 4(a)(2) thereof
and applicable state law registration exemptions. The underlying shares of common stock were registered pursuant to an effective Form
S-8 Registration Statement filed with the Commission on October 7, 2022.
