Disclosure Controls and Procedures
The Company has established disclosure controls
and procedures that are designed to ensure that information required to be disclosed in reports filed or submitted under the Securities
Exchange Act of 1934, as amended (the “ Exchange Act ”), is recorded, processed, summarized and reported within the time
periods specified in the rules and forms of the Securities and Exchange Commission and, as such, is accumulated and communicated to the
Company’s Chief Executive Officer, Clifford L. Emmons, who serves as our principal executive officer and principal financial and
accounting officer, to allow timely decisions regarding required disclosure. Mr. Emmons evaluated the effectiveness of the Company’s
disclosure controls and procedures, as defined in Rule 13a-15(e) of the Exchange Act, as of March 31, 2026. Based on his evaluation, Mr.
Emmons concluded that the Company’s disclosure controls and procedures were not effective as of March 31, 2026.
Changes in Internal Control Over Financial
Reporting
There has been no change in the Company’s
internal control over financial reporting, as defined in Rules 13a-15(f) of the Exchange Act, during the Company’s quarter ended
March 31, 2026, that has materially affected, or is reasonably likely to materially affect, the Company’s internal control over
financial reporting.
