ITEM 2. PROPERTIES
Our Nexxis subsidiary leases agreement office space
located in Melville, NY. The lease commenced on September 11, 2025 on a month-to-month basis. On February 17, 2026, a lease was executed,
requiring monthly payments of $1,800, and expiring on December 31, 2026. In connection with the sale of our CloudFirst business, we entered
into a sub-sublease agreement, pursuant to which the purchaser of the CloudFirst business assumed our obligations under the lease.
