On September 26, 2023 , Parker Harris , Chief Technology Officer and co-Founder , as an individual and as co-trustee for Harris-Johnson Family Trust U/A 12/09/2005 (the “Trust”), adopted a Rule 10b5-1 trading arrangement intended to satisfy the affirmative defense of Rule 10b5-1(c) for (i) the sale of up to 176,170 shares of the Company’s common stock held by Mr. Harris and (ii) the sale of up to 59 shares and donation of up to 20,000 shares of the Company’s common stock held by the Trust, each subject to certain conditions, from January 23, 2024 through November 22, 2024. On September 28, 2023 , Amy Weaver , President and Chief Financial Officer , adopted a Rule 10b5-1 trading arrangement intended to satisfy the affirmative defense of Rule 10b5-1(c) for the sale of up to 140,118 shares of the Company’s common stock, subject to certain conditions, from January 2, 2024 through March 22, 2024.
