no material changes with respect to those risk factors.
On June 10, 2026, we entered into a Business Combination
Agreement with Ignite Proteomics, LLC (“Ignite”) and certain other parties, as more fully described in our Current Report
on Form 8-K filed with the SEC on June 11, 2026. The proposed business combination is subject to numerous risks and uncertainties, including
risks related to the satisfaction of closing conditions, receipt of required shareholder approvals, the level of redemptions by our public
shareholders, and risks specific to the business of Ignite. There can be no assurance that the proposed business combination will be consummated
on the terms or timeline currently contemplated, or at all.

of risks related to the proposed business combination and the business of Ignite will be included in the registration statement on Form
S-4 to be filed with the SEC in connection with the proposed transaction.
