ITEM 2. PROPERTIES
We provide banking services from 34 offices, including our principal
executive office, in Kentucky, North Carolina, and Tennessee. We also operate an LPO in Lincolnton, North Carolina. Our principal executive
offices and those of the Bank are located at 6710 Cumberland Gap Parkway, Harrogate, Tennessee 37752. We believe that our banking and
other offices are in good condition and are suitable and adequate to our needs for the foreseeable future.
The Bank owns its principal executive office building and 31 of its
branches. The Bank’s remaining two branches and LPO are occupied under lease agreements with terms ranging from monthly to five years,
with automatic extension options. The land for two of the Bank’s owned branches is also subject to lease, with terms of five and
10 years, respectively, both of which will automatically renew upon the expiration of the current term. The following table shows
our branches and LPO as of December 31, 2025, and, for each, whether owned or leased:
