Item 1. Legal Proceedings From time to time we may be involved in legal proceedings arising in the ordinary course of business. On April 24, 2026 we entered into a Confidential Settlement Agreement and Mutual Release resolving disputes with certain former officers, directors and shareholders, as described in Note 1 and Note 8 to the condensed consolidated financial statements. Other than as described therein, we are not currently a party to any material legal proceedings. In addition, the action captioned Erik Emerson v. Inscobee Inc. and Apimeds, Inc., filed in the United States District Court for the Southern District of New York and disclosed in our Quarterly Report on Form 10-Q for the quarter ended March 31, 2026, was voluntarily dismissed on May 5, 2026. No amounts were paid by the Company in connection with that dismissal and no liability was recorded.
