Market Information for Common Stock
Our common stock trades on the New York Stock Exchange under the symbol “BSIG.” As of February 22, 2022 there were two registered stockholders of record.

(1) On November 4, 2021, the Company launched a fixed price tender offer to purchase up to 33,300,000 shares of our common stock at a purchase price of $31.50 per share. On December 7, 2021, we accepted for purchase 34,917,532 shares of common stock for a total cost of approximately $1.1 billion, which reflected the upsizing of the tender offer by 2.0% of our outstanding common stock.
(2) On November 3, 2021, we entered into a repurchase agreement with Paulson & Co. Inc. (“Paulson & Co.”) and certain funds managed by Paulson & Co. and its affiliates (the “Paulson Funds”) pursuant to which we agreed that, on the 11th day after the expiration date of the tender offer, we would repurchase from the Paulson Funds, if necessary, a number of shares of common stock, such that, upon the closing of the repurchase, the Paulson Funds’ percentage ownership interest in our total outstanding common stock would not exceed 19.99%. On December 21, 2021, we repurchased 690,000 shares of common stock from the Paulson Funds’ and its affiliates at $31.50 per share.
