CONTROLS AND PROCEDURES
−Removed: Under the supervision and with the participation of our Chief Executive Officer and Chief Financial Officer, our management has evaluated the effectiveness of the design and operation of our disclosure controls and procedures (as defined in Rules 13a-15(e) and 15d-15(e) under the Exchange Act) as of June 30, 2021 (the “Evaluation Date”).
−Removed: Based upon that evaluation, the Chief Executive Officer and Chief Financial Officer concluded that, as of the Evaluation Date, our disclosure controls and procedures were effective (i) to ensure that information required to be disclosed in reports that we file or submit under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in the SEC’s rules and forms and (ii) to ensure that information required to be disclosed in the reports that we file or submit under the Exchange Act is accumulated and communicated to management, including our Chief Executive Officer and Chief Financial Officer, to allow timely decisions regarding required disclosures.
−Removed: We previously identified a material weakness related to the review controls over accounting for debt transactions as of September 30, 2020.
−Removed: The Company implemented new controls whereby management evaluates the nature of debt transactions and where appropriate engages third-party accounting experts to assist management in assessing the accounting in its consolidated financial statements.
−Removed: The Company tested the controls that were implemented and concluded that the controls were operating effectively as of June 30, 2021.
−Removed: As a result, management concluded that the material weakness was remediated as of June 30, 2021.
−Removed: Our management has evaluated, with the participation of our principal executive and principal financial officers, whether any changes in our internal controls over financial reporting that occurred during the quarter ended June 30, 2021 have materially affected, or are reasonably likely to materially affect, our internal controls over financial reporting.
−Removed: Based on the evaluation we conducted, other than remediation of the material weakness identified and discussed above, our management has concluded that no such changes have occurred.
